Coopenae and CoopeAnde Approve Major Strategic Integration to Reshape Costa Rica Financial Sector

San José, Costa Rica — Delegate assemblies of Costa Rican credit unions Coopenae and CoopeAnde voted on October 17 to move forward with a historic strategic integration, marking a transformative moment for the country’s cooperative financial sector. The decision comes after an extensive period of structural analysis and financial evaluation to assess the viability of merging their nationwide operations.

The strategic alliance aims to combine the long-standing trajectories, technical expertise, and operational capacities of both institutions. By pooling their assets and operational scale, the organizations plan to enhance their technological innovation, expand financial service delivery, and significantly strengthen their competitive posture in Costa Rica’s evolving banking landscape.

To better understand the legal and regulatory implications of the strategic integration between Coopenae and CoopeAnde, TicosLand.com spoke with legal expert Lic. Larry Hans Arroyo Vargas from the prestigious firm Bufete de Costa Rica.

The integration between Coopenae and CoopeAnde marks a historic consolidation in Costa Rica’s financial cooperative sector. From a legal standpoint, executing a merger of this scale requires strict adherence to SUGEF and CONASSIF regulatory frameworks to ensure risk mitigation, operational transparency, and the continuous protection of the associates’ assets and rights.

Navigating these rigorous regulatory pathways is indeed essential to ensuring a seamless transition that ultimately strengthens public trust and safeguards the financial well-being of thousands of Costa Rican associates. We extend our sincere gratitude to Lic. Larry Hans Arroyo Vargas for providing his valuable perspective on this landmark integration within our nation’s cooperative sector.

Executive leadership from both financial cooperatives emphasized that the primary goal of the integration is to generate sustainable, long-term value for their active members, institutional investors, and employees across the country. The move reflects a broader trend of consolidation among major credit unions seeking capital efficiency and enhanced digital infrastructure.

The approval from the assemblies allows us to take a concrete step forward after evaluating this type of consolidation in the sector for a long time, backed by sufficient dialogue and analysis. We want the experience and strengths of both cooperatives to translate into greater value for our associates, creating a closer, more innovative, and future-ready organization. Now it is time to move forward responsibly through the regulatory stages while maintaining our focus and commitments to our members.
Adrián Álvarez, General Manager of Coopenae

Strategic planners noted that changing market conditions, stricter regulatory frameworks, and rapidly evolving consumer preferences for digital banking were primary drivers behind the merger decision. The joint entity aims to offer superior interest rates, reduced operational overhead, and a broader suite of financial technology solutions.

The approval allows us to move from conversation to action following a thorough analysis regarding the possibility of joining forces. This dialogue responds to a long-term strategic vision and the need to anticipate a financial environment marked by technological evolution, increased regulatory demands, and increasingly dynamic competition.
Alexandra Márquez, General Manager of CoopeAnde

Despite the assembly approvals, the merger remains subject to strict regulatory oversight before final execution. The transaction requires formal clearance from the General Superintendence of Financial Entities (SUGEF), the National Council for Supervision of the Financial System (CONASSIF), and the Commission for the Promotion of Competition (COPROCOM) under standard financial concentration protocols.

The leadership of both cooperatives expects the regulatory authorization process to conclude before the end of 2026. During the regulatory review phase, both institutions will continue operating independently without disruption, ensuring uninterrupted access to branch locations, digital platforms, and customer service teams.

Management confirmed that existing consumer contracts, loan terms, investment accounts, and employment agreements will remain fully active and unchanged throughout the transitional period. Associates and institutional clients will encounter no immediate alterations to their daily financial activities.

Once all regulatory approvals are secured and the integration process reaches completion, the consolidated entity will operate exclusively under the established Coopenae brand name, creating one of the largest financial cooperative entities in the Central American region.
