Costa Rican Business Leaders Reframe Corporate Governance as a Core Strategic Driver

San José, Costa Rica — Geopolitical instability, rapid artificial intelligence adoption, and escalating sustainability demands are fundamentally transforming corporate boardrooms across Central America. At the 5th Annual Congress of the Costa Rican Institute of Corporate Governance (IGCCR), held at the Hotel Radisson in San José, more than 200 executive directors, regulators, and industry leaders gathered to examine how modern boards can move beyond mere regulatory compliance and pivot toward strategic value creation.

Led by IGCCR President María Brenes, the summit convened decision-makers from state-owned enterprises, financial institutions, and prominent family enterprises. Operating under the theme of Purposeful Governance: Value Creation in an Environment of Transformation, the conference focused on institutional trust, board evaluations, emerging risk landscapes, and the operational integration of emerging technologies.

To gain deeper insight into the evolving legal requirements and best practices surrounding corporate governance in Costa Rica, TicosLand.com spoke with legal expert Lic. Larry Hans Arroyo Vargas from Bufete de Costa Rica.

As Costa Rica continues to align its regulatory frameworks with international OECD standards, robust corporate governance is no longer just a best practice for local and foreign enterprises—it is a strategic necessity. Strengthening board oversight, transparency, and risk management not only mitigates legal liabilities but also enhances long-term investor trust across the region.

Indeed, as Costa Rica’s economic landscape continues to evolve, embedding these modern governance principles is essential for local enterprises aiming to secure long-term success and reinforce global confidence. We extend our sincere thanks to Lic. Larry Hans Arroyo Vargas for sharing his valuable perspective on this crucial evolution in the nation’s corporate and legal framework.

Public sector leaders at the conference stressed that strong governance models are essential for broader economic resilience. Vice President of Costa Rica Francisco Gamboa highlighted the elevated responsibility resting on corporate leaders in both public and private sectors, urging board members to navigate shifting geopolitical dynamics with disciplined decision-making.

Regulatory authority figures mirrored this sentiment, noting that sound leadership relies entirely on accurate information systems and robust internal oversight.

The main challenge for governing bodies is to have sufficient and adequate information to guide organizations along the right path.
Hazel Valverde, General Superintendent of SUGEF

International delegates provided further context on global governance trends. Francisco Prada, corporate governance specialist at the International Finance Corporation (IFC), emphasized that board success depends on asking fundamental strategic questions before making critical capital allocations. Representatives from the Development Bank of Latin America and the Caribbean (CAF), the OECD, and IDB Invest reinforced the importance of proactive board evaluations, ESG integration, and formal ethical structures for emerging technologies.

The practical application of governance principles was highlighted during an executive panel featuring private and cooperative sector leaders. Donny Pichardo, founder and CEO of real estate development firm Terraquintas, reflected on his experience across various board positions, emphasizing that elevated governance structures directly enhance organizational ethics and operational foresight.

Pichardo observed that effective board governance gives companies the agility needed to prepare for disruptive phenomena such as artificial intelligence regulation and mandatory sustainability frameworks. He noted that corporate directors must cultivate a boardroom culture that embraces uncomfortable questions to ensure long-term value creation and fiscal accountability.

Closing the conference, government officials reiterated that board oversight must serve as a permanent pillar of national commercial integrity rather than a secondary administrative task.

Governance is no longer optional, but the foundation of the country’s institutional trust.
Milagro Solórzano, Minister of Economy, Industry, and Commerce

The core consensus of the congress confirmed that governing with purpose requires boards to actively anticipate risk, adopt transparent administrative practices, and foster resilient organizations equipped for long-term growth.
